Mr. Frumkin has recently represented the Independent Directors and Strategic Transaction Committee of UST in its pending sale to Altria Group, TXU in its acquisition by an investor consortium led by Kohlberg Kravis Roberts & Co. and Texas Pacific Group, Endesa in connection with the acquisition by Enel and Acciona, as well as in the cash tender offer by E.ON and unsolicited exchange offer by Gas Natural, Sempra Energy in the sale of a controlling interest in its commodities trading business to Royal Bank of Scotland, a Macquarie-led investor group in its acquisition of Duquesne Light Holdings, RR Donnelley in its acquisition of Banta and Tenaris in its acquisition of Maverick Tube.
