Scott Miller has a broad-based practice emphasizing domestic and international
mergers & acquisitions,
public and private financing transactions and strategic initiatives and investments. He also advises a variety of clients on SEC compliance and
corporate governance matters, including issues arising under the
Sarbanes-Oxley Act. He has represented issuers and underwriters in IPOs and other securities offerings generating more than $25 billion in proceeds.
The breadth of Scott's practice is illustrated by several recent engagements: representing
Alcan Inc.
in its successful defense against an unsolicited takeover attempt by Alcoa and its subsequent recommended offer by Rio Tinto, advising Fiat S.p.A. in connection with the termination of its industrial alliance with General Motors, in which Fiat received a $2 billion payment, representing Alcan in its $7 billion hostile takeover of Pechiney (among the first hostile offers for a French company and named 2003 Deal of the Year by,
inter alia, Corporate Finance Magazine and
Institutional Investor) and in its $5 billion spin-off of Novelis Inc., the world's largest producer of aluminum rolled products, EchoStar Communications in approximately $5 billion in high yield debt offerings and AT&T in its strategic alliances with Yahoo! and EchoStar.
Scott has also acted as issuers' and underwriters' counsel in a number of complex initial public offerings, including for
Thomas Weisel Partners (investment banking) and
VeriFone(payment solutions).
Scott has recently acted in a number of significant investments, strategic alliances, acquisitions and corporate and securities matters involving a range of companies, including
Bell Canada (telecom),
eBay (E-business),
EchoStar(satellite television and broadband),
Infineon Technologies (semiconductors),
Nokia Corporation (telecom equipment),
Philips Electronics (semiconductors and consumer electronics),
AT&T (telecom), Thomas Weisel Partners (investment banking) and VeriFone (payment solutions).
Scott's international capital markets work has included representing the issuer in the first privatization in Italy as well as IPOs and privatizations in telecommunications, satellite and other technology intensive industries in 15 countries. He has also worked extensively with a number of private equity firms on a range of investments and leveraged buyouts.
Mr. Miller joined the Firm in 1986 and was elected partner in 1993. He has been named a "Dealmaker of the Year" by
American Lawyer magazine and recognized as one of the "World's Leading Capital Markets Lawyers" by
Euromoney and a "Leading M&A Lawyer" by
Chambers Legal Guide to the World's Leading Lawyers.
