Andy Dietderich is a transactional attorney with broad experience in strategic event and distressed investing, project and leveraged finance, capital markets offerings and negotiated acquisitions. Mr. Dietderich's clients include leading funds, investment banks, family offices and industrial companies. - representing new investors and existing owners in corporate restructurings and rescue financings, including Pershing Square's investment in Borders Group Inc., the restructuring of the THAN subsidiaries of Philips and the Arkema subsidiaries of Total, and pending work in the financial guarantee insurance and consumer finance industries;
- representing financial sponsors, selling companies, arrangers and hedge providers in acquisition financings of all types, including the sellers in the LBO financing for Bell Canada, the CMBS lenders in the LBO financing for Harrah's, staple providers in the asset-backed LBO financings for Hertz and Neiman Marcus, the bank lenders in acquisition financings for Transmontaigne and Berry Plastics, the forward-starting swap providers in ECP's acquisition of the competitive generation business of Northeast Utilities, and the acquiring sponsors in the acquisition financings for Barclay's investment in Natural Gas Partners, various Goldman Sachs PIA portfolio companies and Vornado's bid for Equity Office Properties;
- representing sponsors or project companies in large project financings, including a leading bid for the Pennsylvania Turnpike (U.S.); the New Meadowlands Stadium for the New York Giants (U.S.); the pending CGN nickel project (Guatemala); the Alaska natural gas pipeline (U.S. and Canada); the Bulyanhulu gold mine (Tanzania); the Intersur toll road (Peru); the Veladero gold mine (Argentina); the Merey Sweeny coker (U.S.); the Cantarell nitrogen injection project (Mexico); the Camisea pipeline (Peru); the EVM and Cabiunas financings (Brazil); and the El Abra copper mine (Chile);
- the design of hybrid securities and new capital markets products, including the 2007 offering of contingent hybrid capital by The Hartford through the Glen Meadow Pass-Through Trust; the 2006 and 2007 offerings of Fixed-to-Floating Rate Callable Perpetual Debentures by subsidiaries of CEMEX; and the initial hybrid offerings by BNSF "C" basket ICONs product by Merrill Lynch), Capital One (the first bank holding company "D" basket enhanced trust preferred), JPMorgan, Nelnet, Dominion Resources, and Southern Union;
- representing acquirors and sellers in negotiated M&A transactions, including the acquisitions of GMACCH (U.S.), Telefonica S.A. (Argentina), Globo.com (Brazil), and Gener (Chile);
- representing arrangers or borrowers in loan, securitization and equity financings of all types, including asset-backed, mortgage-backed, conventional leveraged loan and high-yield, mezzanine and hybrid financings and rights offerings in the United States and many foreign jurisdictions; and
- representing Goldman Sachs, JPMorgan, Barclays, HSBC and other financial institutions in proprietary structured investments in financial assets and various private merchant banking investments.
