Charles “Casey” Cogut is a senior corporate partner at Simpson Thacher & Bartlett LLP. For many years he has been a leader
of STB’s M&A and private equity practices. He specializes in domestic, international and cross-border mergers and
acquisitions; the representation of special committees of boards of directors; and buyouts and other transactions
involving private equity firms. Over the course of his career Mr. Cogut often has been involved in coordinating teams of
professionals in complex multi-jurisdictional acquisitions. In addition, he regularly advises boards of directors with
respect to corporate governance matters and fiduciary responsibilities. Mr. Cogut joined the firm in 1973 and has
been a partner at Simpson Thacher since 1980. From 1990 through 1993, he served as Senior Resident Partner in the firm’s London
office.
Mr. Cogut is representing Microsoft Corporation in connection with its acquisition of Skype Global S.à r.l., and Sealed Air Corporation in its acquisition of Diversey Holdings, Inc. He recently represented The Mosaic Company in connection with the split-off by Cargill, Incorporated of its approximately 286 million share position in Mosaic in a transaction valued at approximately $24 billion. He also represented Wyeth, the global pharmaceuticals company, in connection with its sale to Pfizer Inc. in a cash-and-stock transaction valued at approximately $68 billion, the largest merger transaction completed in 2009. Mr. Cogut also oversees the firm’s relationships with adidas AG, ARAMARK, BD, Kerzner International, and Toll Brothers, and for more
than 20 years he has supervised and participated in Simpson Thacher’s representation of Kohlberg Kravis Roberts & Co. and many of its portfolio companies. In addition, he regularly represents other private equity firms such as JLL Partners, Sageview Capital and Silver Lake Partners.
Mr. Cogut received his J.D. in 1973 from the
University of Pennsylvania
Law School after graduating
summa cum laude from
Lehigh
University in 1969. He is a member of the Board of Overseers of the University of Pennsylvania Law School and Co-Chair
of the Board of Advisors of the University’s Institute for Law and Economics.
