EXPERIENCE:
Nina (Nicki) Locker is a partner in Wilson Sonsini Goodrich & Rosati's Palo Alto office. Nicki specializes in securities
litigation and counseling. She has represented companies and their officers and directors in more than 50 shareholder class
actions and derivative suits throughout the United States.

companies). Nicki also has conducted internal investigations for boards of directors and audit committees and defended
corporations and executives in SEC enforcement matters involving allegations of accounting fraud, reporting failures, and
insider trading.
In the past two years, Nicki has won shareholder lawsuits on behalf of Juniper Networks (N.D. Cal. and Cal. Superior Court),
Brocade Communications (S.D.N.Y. and N.D. Cal.), Genesis Microchip (N.D. Cal. ), New Focus (N.D. Cal.), Network Associates
(Cal. Superior Court), Guidant (N.D. Ill.), Mobility Electronics (D. Ariz), Lipman Electronic Engineering, Ltd. (S.D.N.Y.),
and Allot Communications (N.D. Cal.).
In 2003,
Stanford Lawyer featured Nicki in its cover article
"Do the Right Thing," which discusses how securities litigation has changed in recent years and how
Nicki is helping clients implement systems to detect fraud and improve corporate governance practices.
After graduating from Stanford Law School in 1984, Nicki clerked for the Honorable Anthony Kennedy of the U.S. Court of
Appeals for the Ninth Circuit. Nicki has been at Wilson Sonsini Goodrich & Rosati since 1985. She has chaired the firm's
Nominating Committee and was formerly a member of its Policy Committee.

- Represented former CFO and CEO of a public company after the SEC enforcement staff recommended charging client with
securities fraud violations. SEC concluded investigation without filing any charges.
- Represented Critical Path in SEC investigation relating to multi-year financial restatement. Investigation concluded
with a settlement that did not include any monetary penalties or fraud claims.
- Represented Brocade Communications in SEC investigation regarding multi-year financial restatement relating to
accounting for stock options.
- Represented Network Associates in SEC investigation regarding multi-year financial restatement relating to revenue
recognition and tax reserve issues.
- Represented Quovadx in SEC investigation regarding a multi-year restatement relating to revenue recognition accounting.
- Represented director of a public company in insider trading investigation by the SEC.
- Represented former chair of Audit Committee of public company in SEC investigation after SEC enforcement staff
recommended charging client with securities fraud violations relating to an internal audit committee investigation. SEC has
not filed charges yet.
