Commercial Litigation
Harriet S. Posner has a wide-ranging practice concentrating in complex commercial litigation. Her experience includes
arbitrations, mediations and trials, as well as arguments before both federal and state appellate courts.
She frequently works in areas of law such as ERISA, securities, SEC and stock exchange inquiries and investigations,
corporate governance and restructuring for clients in diverse sectors, including sports and entertainment, health care,
financial services, insurance, and real estate. She also has represented corporations and individuals in litigation relating
to stock options backdating as well as issues arising out of the subprime mortgage industry. Ms. Posner’s representation of
Activision, Inc. illustrates the diverse nature of her practice. In the last year, she has successfully resolved
intellectual property litigation, shareholder class and derivative actions related to stock options backdating issues, and
litigation challenging the company’s $18 billion merger with Vivendi Games.
Ms. Posner headed Skadden’s Los Angeles litigation team in the representation of Kmart Corporation in its restructuring,
from which the leading retailer successfully emerged. She also led the firm’s representation of Tenet Healthcare Corporation
in various state and federal derivative actions pending in California and Nevada.
In the fiduciary law area, Ms. Posner has represented Apartment Investment and Management Company (AIMCO), the largest owner
and operator of apartment properties in the country, in litigating various class and derivative actions in state and federal
courts in California, and in federal courts in both Colorado and Michigan. In addition, Ms. Posner has represented numerous
clients in a variety of fiduciary matters, such as the Armand Hammer Museum of Art and Cultural Center, Fujita Corporation
USA, Revlon and MacAndrews & Forbes.
In the entertainment area, Ms. Posner has represented numerous entities in a variety of contract and licensing disputes,
including Castle Rock Entertainment, International Creative Management, New World Television, Fox Television, Fox
Broadcasting Company, Sony Music Entertainment, Houghton Mifflin Company, Hemdale Film Corporation and infomercial giant
Guthy-Renker.
Ms. Posner has been named by the
Daily Journal as one of the “Top Women Litigators” in California since the inception
of the list.
