Ms. Mahoney represented The BISYS Group, Inc., in connection with a lengthy SEC investigation relating to the restatement of the company's financial statements. Ms. Mahoney brokered the Company's 2007 resolution of this matter, in which it consented to an injunction against future violations of the reporting, books-and-records, and internal controls provision of the federal securities laws and the payment of disgorgement to shareholders harmed by the alleged misconduct.
Ms. Mahoney represented HealthSouth Corp., the largest provider of inpatient rehabilitative health care services in the United States in connection with the SEC investigation relating to HealthSouth's alleged overstatement of earnings over a number of years. While many of HealthSouth's former officers, including all five of the company's former chief financial officers, pleaded guilty to federal criminal charges filed in connection with the investigations, Ms. Mahoney successfully negotiated the Company's settlement with the SEC in 2005, in which the Company agreed to an injunction against future violations of the federal securities laws and paid a monetary penalty.
Ms. Mahoney represented Putnam Investment Management LLC, one of the nation's largest mutual fund complexes, in SEC and state regulatory actions relating to "market timing" matters. Ms. Mahoney successfully negotiated the 2005 settlement between Putnam and the SEC, as well as state regulators. In the settlement with the SEC, Putnam consented to the issuance of an administrative cease-and-desist order and payment of restitution to investors harmed by the alleged conduct.
Ms. Mahoney represented The Warnaco Group, Inc., a major apparel manufacturer, in connection with an SEC investigation relating to its financial reporting and disclosure. Ms. Mahoney negotiated the Company's 2004 settlement in which it consented to the issuance of an administrative cease-and-desist order, but was not required to pay a financial penalty. |
