Donald R. Crawshaw

PROFILE

Donald Crawshaw is a member of Sullivan & Cromwell’s Corporate and Finance, Financial Institutions, Investment Management and Commodities and Derivatives Groups. He has been active on matters for Canadian and U.S. clients throughout his career, working on a wide variety of public and private financing, acquisition and disposition, investment management, reporting, corporate governance, auditor independence, shareholder activism and other matters, and is an expert on the multi-jurisdictional disclosure system between Canada and the United States.

Mr. Crawshaw has worked on public and private offerings of common and preferred equity, hybrid, convertible, and indexed debt securities and warrants for numerous Canadian and U.S. issuers. His investment management practice includes the representation of open- and closed-end funds and their directors and the development of innovative products, including exchange-traded and various types of unregistered funds.

Mr. Crawshaw has written and spoken about, among other things, issues for audit committees, corporate governance, securities law reform, globalization and the practice of law, regulatory and other developments affecting investment companies, the use of derivatives by pooled investment vehicles, and the multi-jurisdictional disclosure system between Canada and the United States. He is a member of the Investment Management Regulation Committee of the New York City Bar Association and a member of the Task Force on Investment Company Use of Derivatives and Leverage of the ABA Committee on Federal Regulation of Securities, Section of Business Law.

Mr. Crawshaw has been recognized as a leading lawyer in The Best Lawyers in America(2007, 2008, 2009, 2010, 2011, 2012, 2013) and New York Super Lawyers (2008, 2009, 2010, 2011, 2012). He has also made the list of The International Who’s Who of Capital Markets Lawyers in 2010 and 2011.
