Christopher Cummings is a partner in the Corporate Department and a member of the firm’s Capital Markets and Securities and Canadian Practice Groups. Based in Toronto, he practices U.S. securities law with a particular emphasis on cross-border capital markets and mergers and acquisitions. He has worked on a broad range of public and private transactions for investment banks and companies in a number of industries, including oil and gas, mining, insurance, transportation, computer hardware and software development and telecommunications.

Chris has been recognized as a leading lawyer in the area of Capital Markets by Chambers GlobalLegal 500 and Who’s Who Legal.

Experience

Chris' practice includes providing advice regarding corporate governance and other general corporate matters. Chris joined the firm as a partner in 2011. He has served Canada-based clients and multinationals doing business in Canada, and has been based in Toronto since 1995.

Examples of Chris' previous representations include:

  • The underwriters in the IPOs and follow-on offerings of Sprott Physical Gold Trust and Sprott Physical Silver Trust;
  • The initial purchasers in numerous high yield offerings by Opti Canada;
  • New Gold for U.S. corporate and securities law matters;
  • The underwriters for equity and high yield bond offerings for Precision Drilling;
  • The underwriters in the IPO of MEG Energy;
  • The Province of Alberta for U.S. securities law matters;
  • The underwriters in the inaugural U.S. bond offering by Manulife Financial;
  • Colombia Goldfields in its acquisition by Medoro Resources;
  • The underwriters in numerous securities offerings for issuers such as TransCanadaEnbridgeTransAltaEncanaCenovusHuskyNexen and Teck;
  • The underwriters in bond offerings for Ironshore and Allied World Assurance Company;
  • CP Rail in a tender offer and consent solicitation for outstanding bonds; and
  • The dealer managers in tender offers and consent solicitations for outstanding bonds of CN Rail.
