Dwyer’s notable representations include:
- Representing the Blue Cross Blue Shield Association (“BCBSA”) and more than a dozen member plans in consolidated multidistrict antitrust class action litigation—one of the largest class actions in the country—brought by putative classes of healthcare providers and health insurance subscribers alleging that the Association and its members have used the Association’s agreements to fix prices and limit competition. She also represents BCBSA and various member plans in related opt‑out litigation across the country brought by large self‑funded subscribers and providers.
- Represented Micro Focus International (now OpenText) and certain officers in securing a favorable settlement in putative securities class action litigation in California state court and New York federal court concerning its $8.8 billion acquisition of certain of Hewlett Packard Enterprise’s software assets.
- Represented Louis Dreyfus Company and its subsidiary Imperial Sugar Company in an action brought by the Department of Justice (DOJ) in Delaware federal court seeking to enjoin U.S. Sugar’s proposed acquisition of Imperial Sugar from Louis Dreyfus. The court ruled in favor of the defendants, denying the DOJ’s request for an injunction to block the acquisition, and the Third Circuit unanimously affirmed the ruling.
- Represented 260 Twelfth Avenue Holdings LLC and other stakeholders in litigation to obtain just compensation for the taking of property through eminent domain by the National Railroad Passenger Corporation (Amtrak) in connection with the Hudson Tunnel Project in New York City. The parties reached a settlement shortly before a scheduled trial.
- Represented Morgan Stanley in litigation filed by Moby S.p.A., an Italian shipping company, in New York state court alleging tortious interference with Moby’s business relations, which ultimately resulted in Morgan Stanley obtaining a complete dismissal with prejudice of the action.
- Represented Viatris (formerly Mylan) in a shareholder class action that asserted numerous violations of the federal securities laws, all premised on other allegations related to Mylan’s marketing, pricing and classification of EpiPen, as well as alleged conduct concerning generic drug price‑fixing and market allocation. The court granted summary judgment entirely in favor of defendants, and the decision was affirmed on appeal by the Second Circuit.
