New York, May 24, 2023 – Paul, Weiss, Rifkind, Wharton & Garrison LLP announced today that Andrea Wahlquist Brown is joining the firm as a partner in the Executive Compensation practice, resident in the New York office. Andrea focuses on compensation and benefits aspects of public company M&A and private equity transactions, as well as related corporate governance matters.

“Andrea is a star in the executive compensation field, with a stellar reputation and a track record of advising on the largest and most complex transactions in the market,” said Paul, Weiss Chairman Brad S. Andrea has more than two decades of experience advising corporate, financial and individual clients and compensation committees on the negotiation of employment and compensation arrangements, including equity incentive plans, and their securities and tax implications. She also advises boards of directors and their compensation committees on senior leadership changes, executive compensation oversight and compensation disclosure issues.

Andrea has handled the benefits and compensation issues and negotiations connected with some of the world’s most significant public company and private equity deals, including the acquisitions of Celgene in its sale to Bristol-Myers Squibb; Allergan in its sale to AbbVie; Analog Devices in its acquisition of Maxim Integrated Products; Zendesk in its acquisition by a consortium; and funds managed by affiliates of Apollo Global Management in their acquisition of Tenneco, Inc. She also handled the spin-off of Frontdoor, Inc. from ServiceMaster Global Holdings.

Andrea earned a B.A. from the University of Virginia and a J.D. from the Washington & Lee University School of Law. She served as a law clerk to Judge Stephen J. Swift of the U.S. Tax Court.
