McGuireWoods continues expanding its highly ranked Capital Markets Practice Group with the arrival of partners Hillary Patterson and Jessica Tobin, who bring decades of experience representing corporate borrowers in complex financing transactions. Patterson and Tobin join the Richmond, Virginia, office.
The accomplished duo advises public companies, private equity funds and their portfolio companies, and other borrowers. Their work spans private equity acquisition financings, asset-based lending, portfolio company credit facilities and fund subscription lines. They come to McGuireWoods from Hunton Andrews Kurth.
“Hillary and Jessica's extensive experience in commercial lending, fund financings and capital markets transactions strengthens our ability to serve clients across a wide range of matters,” said Richard W. Viola, deputy managing partner of McGuireWoods’ corporate practice.
Patterson provides strategic counsel on debt financing transactions, representing borrowers across a spectrum of revolving, bridge and term credit facilities, including cash-flow and asset-based facilities and accounts receivables financings. She partners with fund sponsors on sophisticated capital solutions, including subscription, net asset value and hybrid facilities. She also advises clients in the residential mortgage sector on the financing of servicing advance receivables and mortgage servicing rights.
Tobin advises corporate borrowers on a broad range of credit facilities, including acquisition financings for strategic borrowers, sponsors and their portfolio companies. She counsels borrowers on the credit structures necessary for acquisitions, recapitalizations, "going private" transactions and out-of-court restructurings and workouts.
“Hillary and Jessica are important additions to our practice,” said Lake Taylor, chair of McGuireWoods’ Securities & Capital Markets Department. “Their mastery of intricate debt structures and fund financing adds powerful depth to our team, ensuring our clients stay ahead in an evolving credit market.”
Patterson and Tobin continue the expansion of McGuireWoods’ capital markets capabilities. The firm recently welcomed New York partners Alex Weniger-Araujo and Andrei Sirabionian, who advise clients on special purpose acquisition company (SPAC) transactions and business combinations.
“McGuireWoods’ broad platform and commitment to client service create an ideal environment for our practices,” Patterson said. “The firm’s strength across industries means we can deliver integrated solutions that address every dimension of a client’s financing needs.”
Tobin added: “What drew us to McGuireWoods is the firm’s entrepreneurial approach to serving borrowers. The team here understands that financing transactions require technical precision and creative problem-solving, and that combination is exactly what our clients need.”
McGuireWoods' Capital Markets Practice Group handles high-level securities transactions, including initial public offerings, follow-on equity offerings, debt offerings, SPAC IPOs and business combinations, private placements and PIPE financing transactions. The firm consistently earns top rankings for debt and equity issuances in authoritative league tables.
“We are delighted to welcome Hillary and Jessica,” said Janet Peyton, managing partner of the Richmond office. “Their arrival underscores our commitment to attracting top-tier talent with the skill and client focus McGuireWoods is known for delivering.”
