NEW YORK (January 11, 2016) – Winston & Strawn LLP, a leading global law firm, announced today that three partners have joined the firm’s Corporate Department in New York. The group includes Joel Rubinstein, Jonathan Rochwarger, and Elliott Smith. The team joins from McDermott Will & Emery, where Mr. Rubinstein was head of the firm’s Capital Markets and Securities Practice. Associate Daniel Nussen also joined with the group.

Mr. Rubinstein represents issuers, underwriters, and selling stockholders in initial public offerings (IPOs) and follow-on offerings of securities, as well as private placements and registered direct offerings. He has experience in a variety of industries, including media and entertainment, life sciences, healthcare, insurance, and consumer goods, among others. He has particular experience with special purpose acquisition companies (SPACs), having represented clients in over 20 SPAC IPOs raising aggregate gross proceeds of approximately $2 billion, and in over 15 business combination transactions with an aggregate enterprise value of approximately $5 billion.  Mr. Rubinstein also represents public and private companies, as well as private equity funds, in the acquisition and sale of public and private businesses; sponsors of private investment funds and asset management firms in the formation of a variety of private investment vehicles; and institutional investors and fund-of-funds in connection with investments in private investment funds.

Mr. Rochwarger focuses his practice on securities law, capital markets transactions, corporate governance, and general corporate matters. He has broad experience representing U.S. and non-U.S. issuers and underwriters in public and private debt and equity securities offerings, and acquirers and sellers in domestic and cross-border public and private mergers, acquisitions, and divestitures.

Mr. Smith focuses his practice on corporate and securities law and has represented clients on matters involving public and private offerings of debt and equity securities, mergers and acquisitions, and private equity capital transactions.

The addition of this group marks the second corporate-focused lateral acquisition for Winston in New York within the past year.
